Terms of Service
Clients hire The Halo Crest to build and manage lead generation, CRM, automation, reactivation, and marketing systems for permanent and holiday lighting businesses. The initial commitment is 90 days, then month-to-month with 30 days’ written notice.
Parties
These Terms are between Sheridan Bay LLC, operating as The Halo Crest (“The Halo Crest,” “we,” “us”) and the client purchasing services (“Client,” “you”).
Services
Services may include Meta and Google advertising management, GoHighLevel CRM setup, lead tracking, automations, missed-call text-back, review systems, local SEO, landing pages, content, and seasonal campaigns depending on tier: Spark ($999/mo), Surge ($1,249/mo), or Apex ($1,749/mo). Setup fees start at $497.
14-day setup window
We aim to launch within 14 days after onboarding, provided Client supplies required access, assets, approvals, and account permissions promptly.
Client responsibilities
- Pay ad spend directly to Meta and Google with no media markup from us.
- Provide access to ad accounts, CRM, website, Google profile, inbox integrations, and other required systems.
- Respond to booked leads quickly, ideally within 5 minutes of inquiry.
- Maintain capacity to accept consultations and complete installs.
- Comply with TCPA, CAN-SPAM, CCPA/CPRA, GDPR where applicable, and platform policies.
90/90 Pipeline Guarantee
The 90/90 Pipeline Guarantee means: 90 qualified permanent lighting leads in 90 days, or we continue service with no additional monthly retainer until the threshold is met.
A “qualified lead” means a homeowner in the protected ZIP codes, with a realistic $5,000+ project budget, contacted within 5 minutes of inquiry, and scheduled or confirmed for an on-site consultation or equivalent sales conversation.
The 90-day window starts on campaign launch date, not contract signing. If fewer than 90 qualified leads are generated by day 90, we continue service with no additional monthly retainer until the threshold is met, up to a maximum additional 90 days, followed by mutual review. Client continues paying ad spend directly to Meta/Google during any extension. This is not “free everything.” Client must be paid, responsive, accepting appointments, and in good standing to qualify.
Payments
Monthly retainers are billed in advance through Stripe. The initial commitment is 90 days. After the initial term, service continues month-to-month unless cancelled with 30 days’ written notice.
Setup fee
The setup fee is refundable for 7 days after signing only if work has not commenced. It becomes non-refundable after 7 days or once work begins, whichever happens first.
Territory exclusivity
ZIP-code exclusivity is defined by the client’s accepted territory/addendum. We may serve up to two installers per major market where territories do not directly conflict.
Intellectual property
We own our frameworks, systems, templates, processes, SOPs, and know-how. Client owns its leads, customer data, and paid creative assets upon final payment.
Limitation of liability
To the maximum extent allowed by law, our liability is capped at fees paid to us by Client during the trailing 3 months. We are not liable for lost profits, indirect damages, platform outages, ad account restrictions, or third-party failures.
Indemnification
Each party agrees to indemnify the other for claims caused by its own breach, negligence, unlawful conduct, or misuse of the services.
Disputes and governing law
Florida law governs these Terms. Disputes will be resolved by binding arbitration through AAA in Florida unless prohibited by law.
Miscellaneous
Force majeure, severability, entire agreement, and reasonable modification provisions apply. We may update these Terms by posting a revised version.
